These Terms of Service ("Terms") govern your use of the website and services provided by VisibleIQ ("we", "us", or "our"). By engaging our services or using our website at bevisibleiq.com, you agree to these Terms.

Services

VisibleIQ provides organic growth services for B2B SaaS companies, including but not limited to:

• AI search visibility and optimization
• ICP-focused content strategy and SEO
• Digital PR and authority building
• Organic growth audits and reporting

The specific scope of services will be outlined in a proposal or statement of work agreed upon before any engagement begins.

Engagement terms

All engagements operate on a month-to-month basis. There are no long-term contracts or lock-in periods. Either party may end the engagement at the end of any calendar month with 30 days' written notice.

We will agree on deliverables, timelines, and communication cadence at the start of each engagement. You will receive regular updates on progress, typically on a weekly basis.

Payment terms

All fees are quoted and payable in USD (US Dollars) unless otherwise agreed in writing.

• Invoices are issued at the start of each month for the upcoming month's services.
• Payment is due within 14 days of the invoice date.
• Late payments may incur interest at 2% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998.

Any additional work outside the agreed scope will be quoted separately and requires written approval before commencement.

Intellectual property

Upon full payment, you own all deliverables created specifically for your engagement, including content, reports, and strategy documents.

We retain ownership of our proprietary methodologies, tools, frameworks, and processes. We may use general knowledge and techniques developed during an engagement for other clients, provided no confidential information is disclosed.

We reserve the right to reference the engagement (company name and general description of work) in our portfolio and marketing materials, unless you request otherwise in writing.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, analytics data, internal metrics, and any information marked as confidential.

Confidentiality obligations survive the termination of any engagement and remain in effect for 2 years following the end of the relationship.

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

Limitation of liability

Our services involve strategic recommendations and implementation. While we work to achieve the best possible results, we cannot guarantee specific rankings, traffic figures, or business outcomes, as these depend on factors outside our control including search engine algorithms, market conditions, and competitor activity.

To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunity.

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

Termination

Either party may terminate the engagement with 30 days' written notice, effective at the end of the current billing period. There are no exit fees or early termination penalties.

Upon termination:

• We will provide all completed deliverables and work-in-progress.
• Access to any third-party tools procured on your behalf will be transferred or cancelled as appropriate.
• Any outstanding fees for work completed up to the termination date remain payable.

We reserve the right to terminate immediately if payment is more than 30 days overdue or if the client engages in conduct that is unlawful or harmful to our reputation.

Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
